TERMS AND CONDITIONS OF USE OF ESODORA WEBAPP FOR BOTH CUSTOMERS AND MARKETERS
1.0 INTRODUCTION1.1 ESODORA deals in electronics and household
appliances. The company operates an e-commerce platform consisting of a website together with supporting IT logistics and payment infrastructure for the sale of electronics and household appliances.
1.2 The WebApp gives opportunity for marketers and customers to transact with the company either through an outright purchase of the item or via its flexible platform schedule called “Pay Small Small”
1.3 We partner with credit companies . If these companies find a customer eligible the customer can enjoy credit facility from them and the customer will be allowed to pick up the product, with the repayment plan spread over a period of 1 to 12 months
1.4 These general terms and conditions shall apply to subscribers either as buyers or marketers on the Esodora Web App and shall govern the use of the website and related services.
1.5 By using our WebApp you accept these general terms and conditions in
full. If you disagree with these general terms and conditions or any part of it, you must not use our App 1.6 If you use our WebApp either as a marketer or customer in any business transaction, then you:
1.6.1. Confirm that you have obtained the necessary authority to agree to these general terms and conditions;
1.6.2. bind both yourself and the person, company or other legal entity to these general terms and conditions
2.0 Registration of account and eligibility requirement
2.1. You may not register with our WebApp if you are under 18 years of age (by using our App or agreeing to these general terms and conditions you affirm and represent to us that you are at least 18 years of age).
2.2 Every registered user on this App must:
2.2.1 be a Nigerian citizen or resident in Nigeria;
2.2.2 have a valid physical address;
2.2.3 as a marketer, have a valid account in any of the Nigerian banks and as customers have a valid debit naira card ; and
2.2.4 As a buyer (for Pay Small Small plan) be willing to have his payment card details added to his or her account for direct automated debits.
2.3. If you register for an account with our web App, you will be asked to provide an email address/user ID, password and a phone number, and you will agree to:
2.3.1. keeping your password confidential;
2.3.2. Notifying us in writing immediately (using our contact details provided in the website) if you become aware of any disclosure of your password; and
2.3.3. be responsible for any activity on our WebApp arising out of any failure to keep your password confidential and that you may be held liable for any losses arising out of such a failure.
2.4. Your account shall be used exclusively by you and you shall not transfer your account to any third party. If you authorize any third party to manage your account on your behalf this shall be at your own risk. You may cancel your account on our webapp by contacting us
3.0 Terms and conditions of business
3.1. You acknowledge and agree that:
3.1.1. we shall accept binding sales, payments or contributions made to the account specified by the company provided that the payment was not paid to a wrong account
3.1.2. a contract for the sale and purchase of a product or products will come into force between the buyer and ESODORA as soon as the last installment is paid or full payment is made in the case of outright purchase
3.1.3. the price for a product will be as stated in the relevant product listing;
3.1.4. the price for the product must include all taxes and comply with applicable laws in force from time to time;
3.1.5. delivery charges, packaging charges and insurance costs where applicable will only be payable by the buyer
3.2 Your subscription to our “Pay Small Small” or any other plan shows that you fully understood the terms and condition of the Plan, stated herein and has accepted same.
3.3 At any time the customer decides to stop the “Pay Small Small”, the company is not in the position to refund the sum contributed but the customer has an option of either to take/buy the product equivalent in value to the sum already contributed or pay up the difference for an available product higher in value.
3.4 If the market value of a product being bought through a “Pay Small Small” plan has changed at the end of the payment plan, the customer shall pay the current/prevailing market price.
3.5 payment for delivery must be made before the company can process the delivery of the item(s).
3.6 Pay Small Small Plan attracts no hidden charges or any additional interest due to the mode of purchase
3.7 only buyers who subscribe with his or her debit card shall be eligible to facilities provided by our partners on their terms and conditions, which includes among others (i) contributing at least sixty percent(60%). a percentage of the total cost of the item and (ii) willingness to pay interest chargeable by the companies. Also an initial deposit of 60% of the total cost of the item is mandatory.
For non Esodora branded items the buyer shall spread the payment over several consecutive installments and the item shall be delivered ones 60% of the total cost of the item has been made . Esodora products can be delivered with an initial bulk deposit of 60% of the total cost of the item or when 60 % of the item has been made over the spread chosen by the buyer. A buyer that pays the full 60% deposit for non Esodora branded items before the duration chosen is reached shall wait for the chosen duration before a delivery order can be processed Product delivery shall take 15day to 30 days from the date of 60% payment completion or total payment. Products shall be delivered if the following conditions are met The address on the utility bill should be the same as the delivery address registered with Esodora. Esodora shall not deliver to any other address Esodora would not deliver the item purchase by the buyer to any other person other than the buyer The buyer must be willing to take a full size photograph with the delivered product A valid means of identification (Nin, international passport) must be presented upon delivery
Furthermore Esodora hold the exclusive rights to approve or reject delivery request from a buyer who is on an instalment plan and; If a delivery request isn't approved the buyer would complete his instalment payment for the intended item. Also Esodora from time to time would test the validity of the buyers subscribed atm card without prior notice to the buyer to the sum of 2000 naira or more, the debited sum shall be added to the buyers dora box.
3.8 ESODORA is not obligated to join in any sales promotions, seasonal sales or discount sales for items listed on our app
3.9 Dora box is not a wallet and ESODORA is not a bank for saving money but a temporary place to put money towards the purchase of an item(s).
3.10 All money paid to Dora box are automatically treated as part payment for an item(s) and would not be refunded, however buyer can pick up items equal to total sum of instalment made or balance up to the closest amount for an item.
4.0 Mode of payment
4.1 There are only three (3) forms of payment through Paystack on the ESODORA app:
4.1.2 Atm card subscription
As a buyer (for Pay Small Small plan) be willing to have his payment card details added to his or her account for direct automated debits. The atm card must be vailed 6months above the payment spread chosen by the buyer. If the subscribe card expire date dose not meet the above requirements the goods would not be delivered regardless of the buyer meeting all other delivery conditions until the subscriber uploads a valid atm card or pays the full amount of the item
4.1.3 Payment to the bank
4.1.4 Payment with transfer
Buyers who pay for items through 4.1.3 and 4.1.4 are not eligible for delivery until full cost of item has been made 4.2 All payments should be made directly to the accounts displayed on the ESODORA linked to your registered account in the app
4.3 when you request from Paystack to pay with transfer or pay to the bank,pay only into the account generated upon each request don't pay money into any other account and ESODORA would never call you to do so
4.4 ESODORA will not accept cash payment for any transaction, and any cash payment made to any marketer or customer or their agents, if any, is at customer’s risk.
5.0 Returns and refunds
5.1 Customers may return any defective product due to factory fault to the product service center provided the product is still within the warranty period.
5.2 Esodora shall not return any money paid for any item purchased
6.0 Copyright and trademarks
6.1 Subject to the express provisions of these general terms and conditions:
6.1.1 we own and control all the copyright and other intellectual property rights in our website and the material on our website; and
6.1.2 all the copyright and other intellectual property rights in our website and the material on our website are reserved.
6..2. Esodora logos and our other registered and unregistered trademarks are trademarks belonging to us; we give no permission for the use of these trademarks and such use may constitute an infringement of our rights.
7.0 Law and jurisdiction
7.1. These general terms and conditions shall be governed by and construed in accordance with the laws of Nigeria.
7.2. Any disputes relating to these general terms and conditions shall be taken to MEDIATION CENTER first, before resorting to the court.
8.0 CHANGE OF TERMS AND CONDITION
ESODORA may add to, or terminate any of the Services or amend these Terms at any time, in our sole discretion, without providing notice to you subject to applicable law. We reserve the right subject to applicable law to make changes to existing terms, and post an updated version of these Terms on our Website. You are free to decide whether or not to accept the revised version of these Terms, but accepting these Terms, as revised, is a condition required for you to continue accessing or using the Services.
9.0 INDEMNIFICATION
You (As Marketers) hereby undertake to indemnify us against any and all losses, damages, costs liabilities and expenses (including legal expenses) resulting from your poor handling of the products or otherwise, in the course of marketing the products
10.0 INSURANCE COVERAGE
The following are the terms and conditions for insurance coverage on Esodora: - Insurance is an optional feature available for purchase on Esodora, and it costs 10% of the item's total cost. - Please note that theft /loss is not covered under the insurance policy. - In order to make a claim, the item must be physically present and identifiable with a serial number or equivalent. - Insurance coverage is limited to repairs or replacements that are not covered under the manufacturer's warranty. - If a repair or replacement is necessary, the customer is responsible for paying 20% of the cost. - In order to make an insurance claim, the customer must first complete the payment for the item. - Additionally, the customer must also pay 20% of the estimated cost of repair or replacement, as applicable. - The customer claiming insurance is responsible for the cost of logistics. 12.0 Deliveries of products
11.0 DISCLAIMER
ESODORA shall not be liable to any buyer(s) for error, defects, or any damages suffered by such Buyer (s) as a result of coming in contact with or using any such item(s) purchased from ESODORA. All item(s) listed on the ESODORA contains the description of the respective manufacturers who shall be liable for any errors, defects, or damages suffered by such users in line with the respective manufacturer’s terms and conditions for such liability.
